Boards of Directors are responsible to the community for the governance and stewardship of nonprofit organizations.

Nonprofits are formed for the purpose of serving a public benefit or in the case of a membership association – a mutual benefit.  Although they can make a financial profit, they are not about accumulating profit for their owners or investors.  A nonprofit’s owners are the community, the people they serve.  And the board is there to ensure that the nonprofit delivers on its bottom line - the mission.

So how does a group of community volunteers guide an organization?

By exercising:
Duty of care means that a board member is acting with the care that an ordinarily prudent person would exercise in a like position and under similar circumstances.

Duty of loyalty means that a board member acts in the best interests of the organization, putting those above any conflicting self-interest.

Duty of obedience
is about being faithful to the organization’s mission and acting consistently.

Great… and huh?
